1. Be prepared to  tell what the case is about (relevant factual circumstances of the case) DO NOT READ THE CASE TO THE CLASS!

2. Be able to tell what issue or issues the court is to decide.

3. Be able to tell the decision of each court that heard the case, ie trial court, court of appeals, supreme court.

4. Be able to discuss the ethical theory of the plaintiff, defendant and the final court decision.

5. Be able to tell how the case relates to businesses in North Dakota.

6. Be prepared to give your feelings about the decision, ie was it a good decision or bad, and why do you feel that way (this should be the consensus of the entire group).

A written report stating the items listed above is to be handed in on the day the case is covered.  failure to be prepared or to have the written report will result in loss of points for each group member.

OUTLINE FOR PAPER

I. Group number and list of names of members of the group

II. Type of business (restaurant, cattle ranch, computer consulting, manufacturing of some product etc.).  Must be in North Dakota.

III. Type of business organization (corporation (all types), limited liability company, limited partnership, limited liability partnership or limited liability limited partnership no other types will be accepted) & state reasons for the choice made.  Also must state steps necessary to legally register the type of business organization in North Dakota and obtain or create the necessary registration documents (articles of organization must be created for some types of business organizations).  Registrations documents or articles of organization must be completed with names of group members inserted where appropriate.  All partnerships must include a partnership agreement.

IV. Business structure: A business structure is composed of a formal connection of hierarchy showing authority.  The structure explains the process in which subordinates report to their superiors.  It may also clarify the particular persons that employees of equal positions report to.

V. Business Name and Trademark: Groups must state the reasons they chose the name and trademark and what steps they would have to take to legally obtain the chosen name and trademark.  Correct registration forms must be obtained to register federally & with the state of North Dakota.

VI. Paper must state what licenses must be obtained (such as for alcohol sales, health permits, environmental impact statements etc.).  these will vary according to the type of business.  Because of the types of permits and licenses required it may be easier to locate your business in Fargo so local offices can be accessed.

VII.  All business organizations must have at least one employee.  Paper must state what federal and state employment and tax laws must be complied with and how compliance will be achieved.  Necessary registration forms, tax forms and notices must be obtained or created.  Your business must have a written sexual harassment policy.
